1 – Branch: which depends entirely on the international company and which must carry out activities strictly connected with the parent company;

2 – Soft-Branch: which depends entirely on the foreign company and which must carry out only preparatory or auxiliary activities to the main activity carried out abroad;

3 – Subsidiary: is a company with full powers controlled by the foreign mother that can carry out any business;

4 – Representative office: useful if the international company wishes to entertain relations of representation (e.g. product demonstration, market analysis etc.

In both cases of a natural person or of a foreign company, directors are not obliged to reside in Italy.

Nevertheless, it is increasingly common for countries to challenge directors who manage companies abroad just to save money due to low taxation (Treaty shopping).

Therefore, it will be the case to assess the country of origin’s requirements or appoint a local director.

REGISTRATION OF DIRECTORS AND SHAREHOLDERS WITH ITALIAN TAX AUTHORITIES

As regard of the company registration in italy, there is no citizenship or residency requirement to incorporate an Italian company. Under the Italian law any EU and non EU citizen can incorporate a company in Italy, as long as the principle of reciprocity applies with your home country. Still, all directors and shareholders must obtain the Italian personal tax identification number (codice fiscale).

The ‘codice fiscale’ is issued by the Inland Revenue Agency (Agenzia delle Entrate). Obtaining it is quite easy. In person at any Italian Inland Revenue desk or at any Italian Consulate desk. Even online by the online tax registration services of the Italian Consulate Office in your home Country. Shareholders and directors only need to fill out a form stating the reason of the application.

EXECUTION OF THE ARTICLES OF ASSOCIATION

Under the Italian law, the articles of incorporation must be executed through a public deed. This implies that the articles of association must be signed in front of a Public Notary. You as shareholder have therefore three choices:

execute the articles of association personally, through a power of attorney or through a virtual meeting.

EXECUTING THE ARTICLES OF ASSOCIATION IN PERSON

If you don’t speak Italian at all, the Articles of Association, By-laws and deed of Incorporation need to be translated into your language and the presence of an officially recognized translater is requested.

If you are not able to presence the execution, you will have to grant a Special Power of Attorney to execute the Articles of Association on your behalf.

The Power of Attorney must be notarized and apostilled; or notarized and legalized at your local Italian Embassy or Consulate. Depending on if your home country is or is not a member of the apostille convention.

By this Special Power of Attorney you grant powers to execute all the necessary incorporation documents on your behalf.

ISSUANCE OF THE COMPANY VAT NUMBER

Once the Articles of Association is executed, you will have to apply for the Company VAT number (Partita Iva) issued by the Italian Tax Office. The request is made online and the VAT number is normally issued on the bery same day.

ISSUANCE OF THE CERTIFICATE OF INCORPORATION

The final step of the incorporation process is to obtain the incorporation certificate (Visura) from the Registrar of Companies. After filing all the documents of the incorporating company (Articles of Association, By-laws, VAT number, fiscal code, etc.) and it normally takes within 2-3 days.

OPEN A BANK ACCOUNT FOR THE COMPANY

As the Incorporation certificate is issued, the formation process is over, the company is officially incorporated and a bank account can now be open.
